Experience
Jonathan Gray’s practice focuses on corporate and business law. Resident in the New Brunswick office, he handles an array of corporate transactional matters including:
- mergers and acquisitions,
- business formation and financing,
- venture capital and private equity transactions,
- joint ventures and strategic alliances,
- bank credit facilities and loan transactions,
- public securities filings,
- corporate governance matters,
- intellectual property licenses,
- contracts with employees and consultants, and
- agreements with customers and vendors.
Previously Jonathan practiced with Budd Larner for 16 years. Prior to that he practiced at both Fried, Frank, Harris, Shriver and Jacobson, LLP and Proskauer Rose, LLP, two of the largest U.S. law firms (AmLaw 100). Jonathan’s wealth of legal skills and experience, combined with a keen business acumen, affords him a broad understanding of commercial matters and the ability to complement our clients’ needs for risk mitigation and pragmatism.
Pharmaceutical & Life Sciences Experience
Jonathan represents pharmaceutical companies and other life science businesses in mergers and acquisition transactions; intellectual property licenses; manufacturing agreements, co-development and collaboration arrangements, commercialization agreements, distribution agreements, group purchasing organization agreements and logistics services agreements; intellectual property litigation settlements; governance and employment matters; and annual reports and other public company filings with the U.S. Securities and Exchange Commission.
While in law school, he was Articles Editor of the Brooklyn Law Review. He also was a member of the Executive Board of the Moot Court Honor Society.
