Experience
James J. Pastore focuses on a broad-based corporate finance practice representing borrowers and domestic and foreign banks as "go to" counsel on a wide range of matters. Mr. Pastore represents commercial banks providing credit support or liquidity through the issuance of letters of credit or standby bond purchase agreements in connection with various complex financing transactions. Additionally, Mr. Pastore represents corporate trustees in numerous transactions involving private placements and public offerings of secured and unsecured debt.
Mr. Pastore has wide-ranging experience with Articles 8 and 9 of the Uniform Commercial Code, secured lending, and credit enhancement. He has structured, negotiated, and coordinated numerous lending transactions for domestic and foreign institutional lenders and borrowers involving all types of financing, including asset-based, cash flow, and acquisition transactions in bilateral, club, and syndicated formats. Mr. Pastore also has experience with all forms of related ancillary documents such as security, guaranty, intercreditor, and participation agreements. He regularly deals with all forms of real, personal, and mixed property collateral as well as leasing and factoring transactions. He is regularly consulted on legal opinions with respect to UCC and secured transaction matters.
Mr. Pastore is a member of the New York State Bar Association and the Association of the Bar of the City of New York. Mr. Pastore has created and presented seminars to banking and financial clients on a range of commercial lending topics, including Articles 8 and 9 of the UCC.
Prior to becoming a lawyer, Mr. Pastore worked in the bank sector for several years, including working on commercial lending transactions and bank regulatory matters in the general counsel's office of a New York commercial bank.
