Experience

Manli is an Associate, resident in the New York office, where her practice focuses on all aspects of commercial real estate law. She represents developers, property owners, investors, lenders, and borrowers in matters pertaining to:

  • Real Estate Transactions: drafting and negotiating a broad range of commercial real estate agreements and related documentation with primary emphasis on acquisitions, dispositions, and financings; reviewing ALTA survey and title, environmental and zoning reports; providing summary report on the status of all required due diligence documents and property level investigative research; and coordinating title requests and conducted closings.
  • Commercial Leasing: drafting and negotiating complex commercial leases, subleases, assignments, lease modifications, waivers, subordination agreements, estoppels, and termination agreements and other transfers of retail space; and liaising with leasing agents on lease documents and deals made with tenants or proposed tenants.
  • Franchises: representing franchisees in all aspects of franchise development and operations; reviewing and negotiating franchise agreements, development agreements and franchise finance arrangements; representing franchisee in matters involving the U.S. Equal Opportunity Commission, the Department of Labor and various state agencies; and representing franchise borrowers requiring the full array of lending needs, including single site construction loans, mortgage loans, development lines of credit, multi-unit refinance, sale leaseback arrangements, as well as general business lending.

Prior to Windels Marx, Manli practiced with various New York boutique law firms in a similar capacity. In addition to being admitted to practice in New York, she passed the Bar Exam of The People's Republic of China.
