Ben focuses his practice on transportation and general corporate matters.
Prior to joining Windels Marx, Ben was General Counsel to a group of companies engaged in all aspects of the New York City Taxicab and for-hire-vehicle industry. Through leading a series of successful transactions and litigation, Ben helped the companies restructure and pivot to a growth trajectory in a highly competitive market. During his time with the group, Ben regularly negotiated and drafted complex agreements for transactions with sophisticated parties, having successfully defended the termination of a loan buyback obligation that a national bank sought to enforce. Ben’s daily responsibilities included taxicab medallion transfers, preparing financing, refinancing, and tailored loan documents, advising startup and traditional transportation companies with general corporate matters, and interacting with government agencies such as the New York City Taxi and Limousine Commission and New York State Department of Finance. The experience also provided Ben with the opportunity to handle a broad range of corporate matters such as regulatory compliance, mergers and acquisitions, labor and employment, and a variety of other issues. Ben also has in-depth experience with real estate transactions, commercial litigation, UCC article 9 transactions, foreclosures, and workouts.
